How long does it take to obtain the Electronic Facility Provider Certification?

QLegal's Electronic Facility Provider Certification is intended to confirm that the applicant has completed the applicable QLegal enrollment/orientation requirements and is enrolled with QLegal as an ENP user.

No. QLegal does not charge a subscription fee. You only pay when you request notarization services through a QLegal ENP Partner. The applicable notarial service fee and Documentary Stamp Tax (DST), if applicable, will be included in the quotation provided by the ENP and paid directly to the ENP. QLEGAL does not perform notarization. Only the ENP performs notarization.

ENP Partners

There is also no subscription fee. However, to perform notarization transactions through QLegal, certified ENPs must purchase Quanby Tokens, a non-monetary consumption unit used to access QLegal notarization functions. One (1) Quanby Token is priced at ₱50 and is used for the functions involving notarization.

Once certified, ENPs may purchase Quanby Tokens directly from their QLegal dashboard through bank transfer or online payment. They may request a discount by messaging QLegal Sales in their messaging tab.

Business Accounts

Fees depend on the organization's specific requirements, including customization, additional features, integrations, storage, and other enterprise services. QLegal will provide a custom proposal detailing the applicable fees and commercial terms before implementation.

QLegal does not charge Individual Users a notarial service fee. QLegal operates as an Electronic Notarization Facility (ENF) and does not directly provide notarial services to individual clients.

The certified and commissioned Electronic Notary Public (ENP) provides the notarial service and determines the applicable notarial service fee, which is quoted and paid directly by the client to the ENP. Documentary Stamp Tax (DST), if applicable, may also apply.

QLegal directly transacts with ENPs, law firms, businesses, government agencies, and enterprises for its electronic notarization facility and related services.

Does QLegal require a minimum subscription period or a minimum number of transactions?

QLegal maintains records only for the period required by law, regulation, contractual obligations, or its applicable retention policy.

QLegal should not represent that all records can simply be deleted upon cancellation, because ENPs have continuing record-retention obligations.

The Supreme Court states that ENPs must retain copies of electronically notarized documents for the duration of their commission unless a court orders a longer retention period, and must retain a duplicate copy of the Electronic Notarial Book until expiration of the commission.

Do I need an existing traditional Notarial Commission before applying as an ENP?

No.

The Supreme Court expressly states that an existing commission under the 2004 Rules on Notarial Practice is not a prerequisite for applying for an Electronic Notarial Commission. However, a traditional notarial commission does not automatically authorize electronic notarization.

Can I use QLegal if I am already commissioned as a traditional Notary Public?

Can QLegal guarantee that my ENP application will be approved?

QLegal can assist an applicant in completing the applicable QLegal onboarding and obtaining the Electronic Facility Provider Certification required for the ENP application.

However, the Supreme Court—not QLegal—determines whether an applicant is granted an Electronic Notarial Commission.

QLegal therefore cannot guarantee:

• The date of approval;
• The duration of Supreme Court processing; or
• The issuance of an Electronic Notarial Commission.

Business Accounts

Cancellation and refund terms for QLegal services, subscriptions, tokens, storage, customization, or other enterprise services are governed by the Business Account agreement or proposal. Any applicable refund, cancellation period, or termination conditions will be clearly stated in the commercial terms before the account or service is activated.

QLEGAL FOR BUSINESS TOKEN EXPIRATION, SUSPENSION, NON-CANCELLATION AND NON-REFUND POLICY

Important: Electronic Documentary Stamp purchased is non-refundable and non-cancellable once paid at checkout. Once a notarization has been completed and the electronic notarial record has been finalized, the transaction is generally not reversible or refundable as a completed notarization service, subject to applicable Supreme Court rules and the ENP's professional obligations.

QLegal ENP Cancellation, Rescheduling & No-Show Fee Policy

Applies To: QLegal Electronic Notary Public (ENP) Partners and their clients

1. Purpose

This policy establishes clear and transparent guidelines for the cancellation, rescheduling, and no-show of notarization appointments booked through QLegal.

The policy is intended to protect the time and professional services of commissioned ENPs while providing clients with reasonable flexibility to manage their appointments.

2. ENP-Set Notarial Fees

The notarial service fee is determined by the commissioned ENP and must be clearly disclosed to the client before the appointment is confirmed.

QLegal does not determine or collect the ENP's professional notarial service fee unless otherwise agreed under a specific QLegal service arrangement.

Applicable Documentary Stamp Tax (DST) and other legally required charges, if any, should be disclosed separately.

3. Cancellation by the Client

More than 24 Hours Before the Appointment

A client may cancel an appointment more than 24 hours before the scheduled time without a cancellation fee imposed by QLegal. Any refund of an amount already paid to the ENP will be subject to the ENP's disclosed cancellation and refund terms.

Within 24 Hours of the Appointment

For cancellations made within 24 hours but more than 2 hours before the appointment, the ENP may charge a cancellation fee of up to 10% of the quoted notarial service fee, provided that this fee was disclosed to and accepted by the client before confirmation. Documentary Stamps purchased are non-refundable as per BIR policy.

Less Than 2 Hours Before the Appointment

For cancellations made less than 2 hours before the appointment, the ENP may charge a cancellation fee of up to 20% of the quoted notarial service fee, subject to prior disclosure and client acceptance.

4. Rescheduling

Clients may request to reschedule their appointment through the QLegal platform.

More Than 24 Hours Before the Appointment

First rescheduling request: No rescheduling fee.

Within 24 Hours

A rescheduling request made within 24 hours may be subject to a ₱50 rescheduling fee, or another amount clearly disclosed by the ENP before confirmation. The fee may be waived at the ENP's discretion for reasonable circumstances.

Repeated Rescheduling

A second or subsequent rescheduling request may be subject to a reasonable administrative fee determined by the ENP and disclosed before the rescheduled appointment is confirmed.

5. Client No-Show

A client is considered a no-show if they fail to attend the scheduled appointment and do not provide reasonable notice.

For an ENP REN/IEN appointment, the ENP may charge a no-show fee of up to 20% of the quoted notarial service fee, provided the fee was disclosed and accepted by the client in advance.

If the client remains unavailable after the ENP's reasonable waiting period set at 10 minutes after the time of the scheduled appointment, the ENP may close the appointment as a no-show.

6. ENP Cancellation or Rescheduling

If the ENP must cancel or reschedule an appointment for reasons attributable to the ENP, the client should be offered:

• Free rescheduling; or
• Refund of the amount paid for the affected notarial service, as applicable.

The ENP should not charge the client a cancellation or rescheduling fee when the change is initiated by the ENP, except where otherwise justified and agreed upon.

7. QLegal Platform Fees

QLegal platform-related fees, including applicable Quanby Token consumption, are governed separately by QLegal's applicable commercial and token policies. Where a notarization transaction is cancelled before the ENP begins the notarization process, QLegal may, subject to its transaction rules, determine whether the consumed token can be restored or credited.

Once a notarization has been completed and the electronic notarial record has been finalized, the transaction is considered completed and is generally not reversible or refundable through QLegal, subject to applicable law and Supreme Court rules.

8. Refund Processing

Where a refund is approved, the refund will be processed according to the applicable payment method and QLegal or ENP processing procedures.

Any refund of the ENP's professional notarial fee is the responsibility of the ENP, subject to the ENP's disclosed terms and applicable professional and legal requirements.

9. Exceptional Circumstances

Cancellation or rescheduling fees may be waived or adjusted for reasonable circumstances, including:

• Emergency situations
• Serious illness or incapacity
• Natural disasters or severe weather
• Government-declared emergencies
• Significant technical or connectivity problems
• Other circumstances reasonably beyond the client's control

The ENP may request reasonable supporting information where appropriate.

10. Transparency Requirement

Before a client confirms an appointment, the applicable Notarial Service Fee + Applicable Taxes/Charges + Cancellation/Rescheduling Terms must be clearly presented to the client.

By confirming the appointment, the client acknowledges and accepts the applicable fees and cancellation/rescheduling conditions.

11. Policy Authority

This policy governs QLegal's platform-level appointment management framework. The commissioned ENP remains responsible for the provision of the notarial service and compliance with applicable Supreme Court rules, professional obligations, and applicable laws.

QLegal reserves the right to update this policy when necessary to reflect changes in applicable regulations, platform functionality, or business requirements.

Question 23

QLEGAL FOR BUSINESS TOKEN EXPIRATION, SUSPENSION, NON-CANCELLATION AND NON-REFUND POLICY

1. Nature and Purpose of Quanby Tokens

Quanby Tokens are proprietary, non-monetary Platform consumption units issued, administered, and controlled by Quanby Solutions, Inc. ("QLegal") solely for the purpose of measuring and consuming designated services, features, resources, and transaction functions made available through the Quanby Solutions Inc. - QLegal Electronic Notarization Facility.

Quanby Tokens:

• are Platform consumption units only;
• are not money, currency, or electronic money;
• are not stored value, a deposit, or a payment account;
• are not securities, investments, or financial instruments;
• do not constitute credit, a loan, or a cash balance;
• have no independent monetary or cash value;
• are not intended to be used as a medium of exchange;
• are not redeemable or exchangeable for cash;
• are not transferable between unrelated accounts except where expressly authorized by QLegal;
• do not represent ownership, equity, or any interest in QLegal;
• may only be used for designated QLegal Platform Services; and
• may be consumed, suspended, expired, or otherwise rendered unavailable in accordance with this Agreement and the applicable Commercial Schedule.

Any amount stated in Philippine Pesos in connection with a Quanby Token allocation represents the contract price for the applicable prepaid Platform consumption allocation and related Platform Services. Such amount shall not be construed as establishing a cash, redemption, stored-value, or monetary value of the Quanby Tokens themselves.

2. Prepaid Platform Consumption Model and Successful Transaction-Based Token Deduction

The Partner acknowledges and agrees that Quanby Solutions, Inc., doing business as QLegal ("QLegal"), operates a prepaid Platform consumption model. Before designated Platform Services may be used, the ENP or Partner shall purchase or procure the applicable Quanby Token allocation in accordance with the applicable Commercial Schedule, quotation, invoice, Purchase Order ("PO"), or other written commercial arrangement.

Upon QLegal's acceptance of the applicable purchase and completion of the required payment or credit arrangement, the corresponding Quanby Tokens shall be credited to the designated ENP or Partner account and shall constitute the Partner's prepaid allocation for consumption of QLegal Platform Services.

2.1 Token Consumption Upon Successful Platform Service

Quanby Tokens shall be deducted only upon the successful completion or successful processing of the applicable Platform function or transaction for which the Tokens are allocated, as recorded by the QLegal Platform.

For purposes of this Agreement, a "Successful Transaction" means a Platform transaction or designated Platform function that has been successfully completed, processed, or made available by QLegal in accordance with the applicable transaction workflow and is recorded in the Platform's system records as successfully completed.

Depending on the applicable transaction and Commercial Schedule, Token consumption may include:

• Principal KYC verification;
• Principal liveness verification;
• Witness KYC verification;
• Witness liveness verification;
• ENP KYC verification;
• ENP liveness verification;
• REN recorded Live Session;
• electronic signature or signing services;
• document processing;
• blockchain or document-integrity security;
• secure document storage;
• transaction communications;
• authentication or verification services; and
• other designated QLegal Platform functions expressly identified in the applicable Commercial Schedule.

2.2 No Deduction Solely for a Failed or Unsuccessful Transaction

A Quanby Token shall not be deemed consumed solely because a transaction was initiated, attempted, or abandoned where the applicable Platform Service was not successfully completed or processed.

Where a Platform function fails before successful completion due solely to a verified technical error attributable to QLegal, QLegal shall review the applicable system records and, where appropriate, restore or credit the Tokens incorrectly deducted.

For clarity, the following shall not automatically constitute a QLegal technical error:

• a Principal, Witness, or ENP failing identity verification;
• failure of liveness verification;
• incorrect or incomplete information submitted by a user;
• a user abandoning or cancelling a transaction;
• failure to appear for a required session;
• failure to complete an electronic signature;
• expiration or invalidity of an identification document;
• an ENP declining or determining not to proceed with notarization;
• failure to satisfy a legal or notarial requirement;
• internet, telecommunications, device, browser, or connectivity problems outside QLegal's control;
• failure of a third-party service provider not caused by QLegal's breach of its applicable obligations; or
• any other circumstance in which the Platform successfully performs the applicable service but the overall notarization does not proceed for reasons unrelated to a QLegal technical failure.

2.3 Transaction Records and Token Ledger

The QLegal Platform's transaction records, system logs, audit trails, and Token ledger shall serve as the primary operational record of Platform consumption, subject to the Partner's right to raise a good-faith dispute concerning an alleged erroneous deduction.

Upon reasonable request, QLegal may provide the Partner with applicable transaction information sufficient to identify:

• the transaction reference;
• date and time of consumption;
• Platform function performed;
• applicable Token consumption;
• account from which Tokens were deducted; and
• transaction status.

2.4 Disputed Token Deduction

If the Partner reasonably believes that Tokens were deducted without a corresponding Successful Transaction, the Partner shall notify QLegal promptly and provide the relevant transaction reference or supporting information. QLegal shall review its applicable system records and determine whether the deduction resulted from:

• a Successful Transaction;
• a user-initiated or user-caused event;
• a third-party service issue;
• an authorized Platform consumption event; or
• a verified technical error attributable solely to QLegal.

If QLegal confirms that a Token deduction resulted solely from a verified QLegal technical error and that the applicable Platform Service was not successfully delivered or completed, QLegal shall restore the improperly deducted Quanby Tokens to the applicable account, without converting the Tokens into cash or creating a monetary refund obligation.

2.5 No Monetary Character of Token Restoration

Any restoration or adjustment of Quanby Tokens under this Section shall be made in Quanby Tokens only. Such restoration shall not:

• constitute a cash refund;
• create a cash balance;
• establish a monetary value for Quanby Tokens;
• convert Quanby Tokens into electronic money or stored value; or
• create any right to redeem Quanby Tokens for cash.

Quanby Tokens remain proprietary, non-monetary Platform consumption units governed by the Agreement and applicable Commercial Schedule.

2.6 Illustrative Token Consumption

For example, where an IEN transaction successfully completes the applicable Principal KYC, Principal liveness verification, ENP KYC, ENP liveness verification, electronic signing, document processing, and blockchain/document-integrity security functions, the applicable Quanby Tokens for those successfully completed Platform functions shall be deducted from the ENP's or Partner's prepaid Token balance in accordance with the applicable Token Schedule.

The fact that the ENP ultimately decides not to perform the notarial act after successfully completed Platform functions does not, by itself, reverse Token consumption for Platform Services that were already successfully performed.

2.7 Commercial Principle

The Parties expressly acknowledge that Quanby Tokens are consumed for successful QLegal Platform Services and not as a professional or notarial fee. QLegal's Token consumption is separate from any professional fee independently determined and charged by the ENP. QLegal does not determine, control, collect, or receive the ENP's professional notarial fee unless expressly agreed under a separate written arrangement.

3. Purchase Order Is Binding and Non-Cancellable

Once a Purchase Order or PO for Quanby Tokens or a prepaid Platform consumption allocation has been submitted, transmitted, accepted, confirmed, or otherwise issued by the Partner to QLegal, the Purchase Order shall constitute a firm, binding, and non-cancellable commercial commitment of the Partner. Unless otherwise expressly agreed in writing by QLegal:

• the Partner may not cancel, withdraw, revoke, reduce, suspend, or modify the PO after submission to QLegal;
• the Partner remains obligated to pay the full amount stated in the applicable PO, quotation, or commercial confirmation;
• failure by the Partner to utilize all purchased Quanby Tokens shall not constitute grounds for cancellation, refund, credit, reimbursement, or reduction of the purchase price;
• the Partner's failure to use the Platform, reduced transaction volume, business closure, change in business requirements, loss of anticipated customers, change in ENP availability, or other internal business circumstances shall not relieve the Partner of its payment obligation;
• QLegal's acceptance, processing, allocation, or activation of the requested Token allocation may be relied upon by QLegal as a commercial commitment to reserve and make available the corresponding Platform consumption capacity; and
• any cancellation, modification, reduction, or reversal of a PO shall require the prior written approval of QLegal, which may be granted or denied in QLegal's sole discretion, subject to applicable law.

3.1 No Unilateral Cancellation

The Partner expressly acknowledges that a PO is not a cancellable reservation or tentative order. Submission of the PO constitutes the Partner's confirmation that it has reviewed and accepted:

• the applicable Token allocation;
• Platform consumption rates;
• pricing;
• applicable taxes and charges;
• payment terms;
• Token validity and expiration;
• non-refund provisions; and
• the applicable commercial terms.

4. Non-Refundable Platform Consumption Allocation

Except where a refund is expressly required by applicable law, ordered by a competent authority, or expressly approved in writing by QLegal, all purchased Quanby Token allocations and prepaid Platform consumption commitments are non-refundable. No refund, reimbursement, reversal, or cash equivalent shall be due solely because:

• the Partner did not use all allocated Tokens;
• the Partner used fewer Tokens than anticipated;
• the Partner's transaction volume decreased;
• the Partner ceased or reduced its business operations;
• an ENP stopped using the Platform;
• an ENP's commission expired, was suspended, revoked, or terminated;
• the Partner changed its business model;
• the Partner obtained another service provider;
• the Partner no longer requires the applicable Platform Services; or
• the applicable Tokens subsequently expire.

5. No Cancellation After Token Allocation

Once the applicable Quanby Tokens have been credited or allocated to the Partner's account, the Partner shall have no unilateral right to cancel the purchase or require QLegal to reverse the allocation. Where QLegal agrees to a cancellation or adjustment as an exceptional commercial accommodation, QLegal may impose reasonable administrative, payment-processing, transaction, or other costs associated with the requested adjustment, subject to applicable law. Any such accommodation shall not establish a precedent or continuing right of cancellation.

6. Partner Responsibility for Token Consumption

The Partner acknowledges that it is responsible for all Token consumption generated through its account, including Token consumption resulting from transactions initiated or performed by:

• the Partner;
• its authorized personnel;
• authorized ENPs;
• Principals;
• Witnesses;
• administrators;
• agents;
• representatives; or
• other authorized users,

whether such consumption occurs directly or through an authorized integration, API, workflow, or Platform function. The Partner shall maintain appropriate internal controls over its Token balance and user access. The Partner shall promptly notify QLegal of any suspected unauthorized use. The Partner shall not be responsible for Token consumption that is solely and demonstrably caused by a proven technical error attributable to QLegal, provided that the Partner promptly notifies QLegal and reasonably cooperates in investigating the incident.

7. Standard Token Expiration

Unless a different validity period is expressly stated in the applicable Commercial Schedule, quotation, or written agreement, unused Quanby Tokens shall remain available for twelve (12) months from the date of purchase. Upon expiration:

• the Tokens shall automatically become unavailable for Platform consumption;
• the Tokens shall have no cash or redemption value;
• the expired Tokens shall not be transferable;
• no refund shall be due solely because of expiration; and
• the Partner shall have no right to require QLegal to repurchase or convert the expired Tokens into cash.

QLegal may, in its discretion, extend the validity of unused Tokens as a commercial accommodation. Any extension must be expressly confirmed in writing by QLegal.

8. ENP Commission Status

The expiration, suspension, revocation, non-renewal, resignation, or termination of an ENP's commission does not automatically cause Partner-level Quanby Tokens to expire, unless:

• the Tokens were specifically allocated exclusively to that ENP; and
• the applicable Commercial Schedule expressly provides that such Tokens expire upon the relevant change in ENP status.

Where an ENP is no longer authorized to perform electronic notarial acts, QLegal may immediately restrict or suspend the ENP's access to electronic notarization functions to prevent unauthorized use. Remaining Partner-level Tokens may, subject to applicable requirements, continue to be used by other duly authorized ENPs or users of the Partner. Nothing in this section authorizes an ENP whose commission has expired, been suspended, revoked, or terminated to perform an electronic notarial act.

9. Account Suspension

QLegal may suspend or restrict access to the Platform or specific Platform functions where reasonably necessary because of:

• suspected fraud;
• unauthorized access;
• cybersecurity threats;
• misuse of the Platform;
• material breach of the Agreement;
• non-payment;
• invalid or expired ENP credentials;
• regulatory requirements;
• court or government orders;
• risks to transaction integrity; or
• other circumstances that materially affect the secure or lawful operation of the Platform.

Suspension Does Not Equal Cancellation: Suspension of Platform access does not constitute cancellation of the Partner's PO, purchase commitment, or payment obligation. Unless otherwise required by law or expressly agreed in writing, Tokens remain subject to their applicable validity period during suspension.

10. Account Termination

If the Partner terminates its account or the Agreement, all outstanding payment obligations, including amounts relating to accepted POs and prepaid Platform consumption commitments, shall remain due and payable. Unless otherwise required by applicable law or expressly agreed in writing:

• unused Tokens do not become refundable upon termination;
• QLegal is not required to convert Tokens into cash;
• unused Tokens associated exclusively with a terminated account may expire upon termination; and
• termination does not invalidate or cancel previously accepted POs.

QLegal may, at its discretion, provide a reasonable transition period or migration arrangement where appropriate.

11. No Cash Redemption or Monetary Conversion

Quanby Tokens may not be:

• redeemed for cash;
• exchanged for Philippine Pesos;
• exchanged for another currency;
• withdrawn from the Platform;
• treated as a deposit;
• transferred into a bank account; or
• converted into electronic money.

The Philippine Peso amount appearing on an invoice, quotation, PO, or commercial schedule represents the contract price payable for the prepaid Platform consumption allocation and associated Platform Services, and not the monetary value of the Tokens.

12. Token Transferability

Quanby Tokens are associated with the purchasing Partner or ENP account and are generally non-transferable between unrelated accounts. Quanby Solutions Inc. - QLegal may, however, permit allocation or reassignment of Tokens:

• between authorized users within the same Partner organization;
• among ENPs within an approved Partner Network;
• as part of an approved corporate account structure; or
• in other circumstances expressly approved by QLegal in writing.

Any permitted transfer does not create a right to cash redemption or monetary conversion.

13. Taxes and Other Charges

Unless otherwise stated in the applicable quotation or Commercial Schedule, all prices for Quanby Solutions Inc. - QLegal Platform Services and prepaid Platform consumption allocations are exclusive of applicable taxes, government charges, payment-processing fees, bank charges, and other applicable transaction costs. Where required by law, Quanby Solutions Inc. shall issue the appropriate invoice, receipt, or other legally required tax documentation. Any applicable VAT or other lawful tax shall be separately identified or incorporated into the invoice in accordance with applicable Philippine tax requirements.

14. Expiration Notice

QLegal may, where commercially practicable, provide electronic notification concerning upcoming Token expiration.

Failure to receive an expiration notification shall not:

• extend the Token validity period;
• create a refund right;
• create a cancellation right; or
• otherwise modify the terms of the Agreement.

15. Exceptions Required by Law

Nothing in this Section shall exclude or restrict any right, refund, cancellation, remedy, or other protection that cannot lawfully be waived, excluded, or contracted away under applicable Philippine law, or that is required by a competent court, regulator, or government authority.

17. Acknowledgment and Acceptance

By submitting, issuing, transmitting, electronically approving, or otherwise authorizing a Purchase Order for Quanby Tokens or prepaid Platform consumption, the Partner expressly acknowledges and agrees that:

1. the Purchase Order constitutes a firm and binding commercial commitment;
2. the Partner has reviewed and accepted the applicable pricing, Token consumption rates, validity period, taxes, and payment terms;
3. the Purchase Order may not be unilaterally cancelled, withdrawn, reduced, or revoked after submission to QLegal;
4. purchased Quanby Tokens are proprietary, non-monetary Platform consumption units and are not money, electronic money, stored value, or a financial instrument;
5. unused Tokens do not have any cash or redemption value;
6. the Partner is responsible for Token consumption generated through its account, subject to the express exception for proven technical errors solely attributable to QLegal; and
7. the Partner's failure to consume all purchased Tokens does not create a right to a refund, cancellation, reimbursement, or cash conversion, except where such right is mandatorily provided by applicable law.

4. Quanby Token Allocation

For purposes of this Purchase Order, the Partner shall receive 1,000 Quanby Tokens at the applicable commercial rate of ₱50.00 per Quanby Token. The foregoing amount represents the prepaid price for the applicable QLegal Platform consumption allocation. The Quanby Tokens themselves are proprietary, non-monetary Platform consumption units and do not constitute money, electronic money, stored value, a deposit, a security, or a financial instrument.

5. Intended Platform Consumption

The Quanby Tokens may be consumed for designated QLegal Platform functions, including, where applicable:

• Principal KYC;
• Principal liveness verification;
• Witness KYC;
• Witness liveness verification;
• ENP KYC;
• ENP liveness verification;
• REN recorded Live Session;
• electronic signing;
• document processing;
• blockchain/document-integrity security;
• secure document storage;
• transaction processing;
• communications; and
• other Platform functions designated by QLegal.

Actual Token consumption shall be determined by the applicable QLegal Token Consumption Schedule in effect for the Partner's account.

6. Payment Terms

Payment Model: Prepaid. The Partner shall pay the full amount stated in this Purchase Order prior to or upon activation of the corresponding Platform consumption allocation, unless QLegal has expressly approved alternative payment terms in writing.

Payment may be made through payment channels made available or approved by QLegal, including bank transfer, online payment, approved payment gateway, corporate payment arrangements, or other payment methods expressly approved by QLegal.

7. Non-Cancellable / Non-Refundable Platform Consumption Commitment

By issuing or submitting this Purchase Order, the Partner confirms a firm and binding commitment to purchase the stated prepaid QLegal Platform consumption allocation. Upon submission or issuance to QLegal, the Purchase Order may not be unilaterally cancelled, withdrawn, reduced, or revoked, and the corresponding payment obligation shall remain due, subject to QLegal's acceptance and applicable law. Quanby Tokens are proprietary, non-monetary Platform consumption units only and have no cash, stored-value, redemption, or monetary value. Unused Quanby Tokens are non-refundable and expire in accordance with the Quanby Token Expiration Policy.

8. Purchase Order Acceptance

The Partner acknowledges that submission of this Purchase Order constitutes confirmation that the Partner has reviewed and accepted the quantity of Quanby Tokens ordered, applicable Token consumption rates, Platform pricing, taxes and charges, prepaid payment structure, Token expiration policy, non-cancellation policy, non-refund policy, Partner responsibility for Token consumption, and the applicable terms of the Quanby Legal Master Business, Electronic Notarization Facility and Data Processing Agreement.

9. Partner Responsibility for Token Consumption

The Partner is responsible for all Quanby Token consumption generated through its account, including consumption resulting from transactions initiated by the Partner, authorized Partner personnel, ENPs, Principals, Witnesses, administrators, representatives, and other authorized users. The Partner shall maintain appropriate internal controls and promptly notify QLegal of suspected unauthorized use.

10. Token Validity and Expiration

Unless otherwise stated in the applicable Commercial Schedule, Quanby Tokens are valid for twelve (12) months from the date of purchase. Unused Tokens automatically expire at the end of the applicable validity period. Expired Tokens cannot be consumed, transferred, exchanged for cash, redeemed for Philippine Pesos, treated as stored value, or refunded. QLegal may, at its discretion, grant an extension in writing.

11. No Cash Value

The Partner expressly acknowledges that Quanby Tokens have no independent monetary value. The Philippine Peso amount appearing in this Purchase Order represents the contract price for the prepaid QLegal Platform consumption allocation and related Platform Services. It does not represent a deposit, stored-value balance, electronic-money balance, cash equivalent, or redemption value of the Quanby Tokens.

12. Taxes

The prices stated in this Purchase Order are subject to applicable Philippine taxes. Where applicable, QLegal shall issue the appropriate invoice, receipt, or other legally required tax documentation.

13. Professional Notarial Fees

This Purchase Order relates solely to QLegal Platform consumption and Facility charges. It does not include or determine the professional notarial fees of an Electronic Notary Public. The ENP independently determines the professional fee payable for the ENP's professional and notarial services. QLegal does not determine, interfere with, collect, or receive the ENP's professional fee unless the Parties separately agree in writing to a different arrangement.

14. No Platform Fee to Principals or Witnesses

QLegal does not separately charge Principals or Witnesses a Platform fee for participating in an electronic notarization transaction. The applicable Platform consumption generated by the transaction is charged against the ENP's or Partner's Quanby Token balance in accordance with the applicable Token Consumption Schedule.

15. Customization, White-Labeling and Integration

This Purchase Order does not include customization, white-labeling, bespoke development, dedicated infrastructure, API integration, system integration, enterprise implementation, special workflow development, or other professional or technical services unless expressly stated in this Purchase Order or a separate Statement of Work. Additional costs may apply for white-labeling, custom branding, API integration, enterprise integration, custom workflows, dedicated infrastructure, data migration, implementation services, training, technical consulting, bespoke development, and other non-standard Platform requirements.

16. Order Acceptance by Quanby Solutions Inc - QLegal

This Purchase Order shall become effective upon acceptance by QLegal. QLegal may accept this Purchase Order by written confirmation, electronic confirmation, issuance of an invoice, allocation or activation of the ordered Quanby Tokens, commencement of fulfillment, or other written or electronic confirmation evidencing acceptance.

17. Governing Agreement

This Purchase Order is governed by and incorporated into the QUANBY LEGAL MASTER BUSINESS, ELECTRONIC NOTARIZATION FACILITY AND DATA PROCESSING AGREEMENT between Quanby Solutions, Inc. and the Partner. In case of conflict, the applicable order of precedence under the Master Agreement shall apply.

18. Acknowledgment by Partner

By signing, issuing, electronically approving, or submitting this Purchase Order, the Partner expressly acknowledges that the Purchase Order is firm and binding, non-cancellable after submission/issuance, prepaid, and that Quanby Tokens are non-monetary Platform consumption units with no cash, stored-value, or redemption value; unused Tokens are non-refundable and subject to the applicable 12-month expiration period unless otherwise agreed in writing; the Partner is responsible for Token consumption generated through its account; professional ENP fees are separate from QLegal Platform charges; and customization, white-labeling, and integrations are subject to separate quotation unless expressly included.

*Tax treatment should be confirmed by QLegal's Philippine tax/accounting adviser before putting a specific "12% digital tax" label on the PO. The invoice should use the legally applicable tax classification rather than calling VAT itself a "digital tax" unless that is specifically the applicable statutory treatment.

18. Adjustment of Quanby Token Rates and Commercial Terms

18.1 Prior Notice

QLegal shall provide the Partner with at least thirty (30) days' prior written notice of any material increase in the applicable Token purchase rate or Token consumption rates, unless a shorter period is required by law, regulation, government action, third-party pricing changes, or circumstances beyond QLegal's reasonable control.

18.2 Grounds for Adjustment

Pricing or Token consumption rates may be adjusted to reflect material changes in:

• technology infrastructure costs;
• cloud hosting or storage costs;
• identity-verification, KYC, or liveness provider costs;
• cybersecurity requirements;
• blockchain or document-integrity services;
• telecommunications or Live Session infrastructure;
• third-party service costs;
• inflation;
• taxes or government charges;
• regulatory or Supreme Court requirements;
• security requirements;
• foreign exchange fluctuations;
• force majeure events; or
• other material changes affecting the cost of providing the Platform Services.

18.3 Prospective Application

Unless otherwise required by law or competent authority, a revised Token purchase rate or consumption schedule shall apply prospectively from its stated effective date. Quanby Tokens validly purchased before the effective date of a price increase shall not be retroactively repriced. However, their consumption shall remain subject to any applicable Platform functionality, technical requirements, and Token expiration rules.

18.4 No Change to Quanby Token Nature

A change in the Quanby Token purchase rate does not change the nature of Quanby Tokens. Regardless of the applicable purchase price, Quanby Tokens remain non-monetary Platform consumption units and do not become money, electronic money, stored value, credit, securities, or redeemable assets.

18.5 Bulk Purchases and Discounts

QLegal may offer discounted pricing for qualifying bulk Quanby Token purchases. Any bulk discount may be subject to minimum purchase quantities, validity periods, promotional periods, Partner eligibility, advance payment, minimum commitments, or other commercial conditions. Unless otherwise expressly stated, a bulk discount does not create a permanent entitlement to discounted pricing.

18.6 Taxes and Government Charges

Any adjustment to Platform pricing shall be exclusive of applicable VAT, digital-service taxes, government charges, payment-processing fees, bank charges, or other legally applicable costs, unless expressly stated otherwise. Where applicable, such amounts may be separately identified on the invoice issued to the ENP or Partner.

18.7 Formal Contract Statement

For purposes of inclusion as a concise contractual provision: "Quanby Tokens are proprietary, non-monetary Platform consumption units used solely for the consumption of QLegal Platform Services. Unless otherwise stated in the applicable Commercial Schedule, unused Quanby Tokens shall remain valid for twelve (12) months from the date of purchase and shall automatically expire thereafter. The expiration, suspension, revocation, resignation, or non-renewal of an individual ENP's Electronic Notarial Commission shall not automatically cause Tokens held in a Partner or organizational account to expire, unless such Tokens are specifically allocated to that ENP and the applicable Commercial Schedule expressly provides otherwise. QLegal may suspend the affected ENP's access to electronic notarization functions upon the expiration, suspension, revocation, resignation, or termination of the ENP's commission. Expired Quanby Tokens are non-transferable, non-refundable, and cannot be redeemed for cash, except where otherwise required by applicable law or expressly agreed in writing. QLegal may prospectively adjust Token purchase rates and consumption rates upon the notice required under this Agreement. Such adjustments shall not retroactively alter the purchase price of validly purchased Tokens."
